Lyft United Way Donation Terms and Conditions

The Donation Feature

The Donation Feature allows participating individuals to donate funds to United Way. Participating individuals must select the amount that they wish to donate (the “Donation”) using the options provided in the Donation Feature.

Payment and Donations

By using the Donation Feature you authorize Lyft to charge your payment method on file for such Donation. Lyft will act as United Way’s agent to collect your Donation and transfer it, without deduction or offset, to the United Way. 100% of your Donation will be directed to United Way. Donations are not refundable. Lyft will provide you with a receipt detailing your Donation.

Causes

Lyft reserves the right to remove the Donation Feature at any time and for any reason. Further, Lyft does not make any guarantees or representations regarding United Way’s mission or use of your Donations, or that United Way will continuously operate or qualify as charitable organization. Lyft disclaims liability for, and makes no guarantees or representations with respect to, how the Donation will be spent by United way, or any potential tax deductions or benefits (if any) that participating individuals may receive as a result of any Donation. Participating individuals are solely responsible for undertaking any required reporting and for claiming any applicable tax benefits that they wish to seek.

By using the Donation Feature, participating individuals acknowledge and agree that Lyft may disclose personally identifiable information about them (including, but not limited to, name, email address and Donation amounts) to United Way as required for reporting purposes, to secure tax benefits on their behalf, or to comply with applicable law.

Indemnity/Limitation of Liability

You will defend, indemnify, and hold each United Way, and Lyft including our affiliates, subsidiaries, parents, successors and assigns, and each of our respective directors, officers, employees, agents, against all claims, damages, losses liabilities and expenses (including reasonable and documented attorneys’ fees) with respect to any claim arising out of or related to your use of the Donation Feature or United Way’s use of your Donation.

IN NO EVENT SHALL LYFT OR UNITED WAY BE LIABLE FOR SPECIAL, INCIDENTAL, CONSEQUENTIAL, INDIRECT, PUNITIVE OR OTHER SIMILAR DAMAGES ARISING FROM THESE TERMS, YOUR USE OF THE DONATION FEATURE OR UNITED WAY’S USE OF YOUR DONATION, HOWEVER ARISING INCLUDING NEGLIGENCE, EVEN IF WE OR OUR AGENTS OR REPRESENTATIVES KNOW OR HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CERTAIN JURISDICTIONS MAY NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

EXCEPT AS EXPRESSLY SET FORTH HEREIN, LYFT MAKES NO WARRANTIES TO YOU CONCERNING THE LYFT PLATFORM, THE DONATION FEATURE, OR OTHERWISE (COLLECTIVELY, THE “LYFT MATERIALS”). LYFT PROVIDES THE LYFT MATERIALS “AS IS” AND WITHOUT WARRANTY. LYFT DOES NOT WARRANT THAT THE LYFT MATERIALS WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATIONS OF THE LYFT MATERIALS WILL BE UNINTERRUPTED OR ERROR FREE OR THAT THE FEATURE WILL BE AVAILABLE AT ALL TIMES. TO THE FULLEST EXTENT PERMITTED BY LAW, LYFT SPECIFICALLY DISCLAIMS ALL WARRANTIES IN RESPECT TO THE LYFT MATERIALS, WHETHER EXPRESS OR IMPLIED, ORAL OR WRITTEN, INCLUDING WITHOUT LIMITATION, ALL IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE AND ALL WARRANTIES ARISING FROM ANY COURSE OF DEALING, COURSE OF PERFORMANCE OR USAGE OF TRADE.

General

Lyft reserves the right to discontinue the Donation Feature and cease collecting Donations at any time and without notice, provided that if the Donation Feature is terminated, Lyft agrees to direct any remaining Donations to the United Way, pursuant to these Terms, within sixty (60) days.
