LyftUp Community Grants Terms & Conditions

ELIGIBILITY: TO BE CONSIDERED FOR A GRANT (DEFINED BELOW) UNDER THIS PROGRAM (THE “PROGRAM”) YOUR ORGANIZATION (EACH AN “APPLICANT ORGANIZATION”) MUST BE A 501(C)(3) 

  1. Application Period: Under the Program, Lyft, Inc. (“Lyft”) may offer a Grant to deserving Applicant Organizations each calendar quarter. Applications are reviewed and awarded on a rolling basis. 

  2. How to Apply: To participate in the Program each Applicant Organization must submit an online application by providing information about your organization and answers to the questions here. There is a limit of one (1) application per Applicant Organization per calendar year. By submitting an application, you indicate your full agreement to these Terms and Conditions and to Lyft’s decisions regarding the Program, which are final and binding.

  3. Grant Determination:  Lyft awards Grants based on the strength of your application and the completeness and quality of the information submitted, and as otherwise determined at Lyft's sole discretion. All Grants are subject to verification of eligibility and compliance with the terms of these Terms and Conditions.

  4. Requirements for Grantees: Except where prohibited, an Applicant Organization may be required to complete and return proof of 501(c)(3) status, reporting documentation about use of the grant, and/or a liability/publicity release. Applicant Organizations may be required to sign and return a completed Form W9 for tax reporting purposes. If an Applicant Organization fails to sign and return such documents within the required time period, then an alternate Applicant Organization may be selected as a grantee at Lyft’s sole discretion. Each Applicant Organization that receives a Grant is responsible for paying any applicable income taxes and any and all other fees, costs and expenses associated with such Grant.

  5. Grants: Each calendar quarter, Lyft may grant Lyft Credits to eligible Applicant Organizations (a “Grant”) in participating metropolitan areas. Grants may only be used or distributed for the purpose of advancing the Applicant Organization's mission (as stated in the application) and may not be traded or sold. All use of the Lyft services is subject to the Lyft Terms of Service, available at https://www.lyft.com/terms. Unused Lyft Credits may expire 12 months from the date the Grant is disbursed or on a date communicated by Lyft to the eligible Applicant Organization. Lyft reserves the right to void a Grant and cancel the use of such Lyft Credits in the event that Lyft suspects any fraud, abuse, or a violation of these Terms and Conditions or Lyft’s Terms of Service. Furthermore, the Lyft Platform is not available to children (persons under the age of 18).

  6. License Grant: By submitting an application to participate in the Program, each Applicant Organization grants Lyft, its agents, licensees, and assigns, an irrevocable, perpetual, worldwide, royalty-free, non-exclusive right and permission to identify, reproduce, store, copy, transmit, publish, post, broadcast, display, adapt, modify, create derivative works based upon, exhibit, and otherwise use that Applicant Organization’s logo, trademarks, photos, likenesses, and application (as-is or as-edited) in any media throughout the world for any purpose, without limitation, and without additional review, compensation or approval. Applicant Organizations that receive a Grant agree to submit written testimonial (upon reasonable request) detailing the ways that the Grant has benefited their mission.

  7. General Conditions: Lyft may, in its sole discretion, suspend or terminate the Program at any time. Lyft reserves the right, in its sole discretion, to disqualify any Applicant Organization that tampers with the operation of the Program. Failure by Lyft to enforce any term of these Terms and Conditions shall not constitute a waiver of that provision.

  8. Release and Liability: By participating in the Program, each Applicant Organization agrees to release and indemnify Lyft, Inc. (including its affiliates, directors, officers, employees and agents) from any and all liability or claims related to (a) use of the Lyft services, (b) injury or damage to persons or property, (c) Applicant Organization’s participation in the Program, or (d) Lyft’s exercise of its rights in Section 7. Applicant Organizations further agree that in any cause of action, in no event shall Lyft be liable for attorney's fees or other legal costs. Applicant Organizations waive the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, or indirect damages.

  9. Disputes: All disputes, claims and causes of action arising out of, or connected with, the Program or any Grant shall be resolved individually, without resort to any form of class action, and exclusively by arbitration pursuant to the rules of the American Arbitration Association. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Terms and Conditions, or a party’s rights and obligations in connection with the Program, shall be governed by, and construed in accordance with, the laws of California. In the event of any conflict between this provision and the dispute resolution and arbitration agreement in the Lyft Terms of Service https://www.lyft.com/terms, the Lyft Terms of Service shall govern.
